PAYMENT TERMS & CONDITIONS

0. NATURE OF SERVICES

ConsultSystemX provides access to proprietary marketing systems, automation infrastructure, and strategic implementation services.

All services are subscription-based and may include both fixed-fee and usage-based components.

By proceeding with payment, you acknowledge that you are purchasing access to systems, tools, and support designed to improve marketing and operational efficiency. You are not purchasing guaranteed results.

Results depend on multiple factors including, but not limited to, your execution, offer quality, sales processes, and market conditions.

1. ACCEPTANCE OF TERMS

By submitting payment, you ("Client") agree to be bound by these Payment Terms and Conditions, as well as ConsultSystemX's

Service Agreement (this will be sent to you during onboarding)

Earnings Disclaimer

If you do not agree to these terms, do not proceed with payment.

2. PAYMENT AUTHORIZATION

By providing your payment information and completing this transaction, you:

a. Authorize FSC ECom Group LLC d/b/a ConsultSystemX ("ConsultSystemX") to charge your payment method for the amount specified

b. Confirm that you are authorized to use the payment method provided

c. Certify that all information provided is accurate and complete

d. Agree to automatic billing for any recurring services

3. BILLING & PAYMENT PROCESSING

Initial Payment

All invoices are due upon receipt unless otherwise specified in your Service Agreement. Payment must be received before any services commence.

Recurring Payments

For ongoing services, you authorize ConsultSystemX to automatically charge your payment method on file according to the billing schedule outlined in your Service Agreement (monthly, quarterly, or annually).

Usage-Based Services (Wallet System)

Certain services operate on our prepaid Wallet-based system as outlined in our Terms of Service.

1. Usage charges (including SMS, calls, emails, AI usage, and other variable costs) are deducted from your prepaid Company Wallet in real-time.

2. You are responsible for maintaining sufficient Wallet balance.

3. Your payment method may be automatically charged to reload your Wallet when it drops below your configured threshold.

Failure to maintain sufficient Wallet balance may result in partial or complete interruption of system functionality.

4. ACCEPTED PAYMENT METHODS

We accept major credit cards, debit cards, and ACH bank transfers. All payments are processed through secure, PCI-compliant payment providers.

5. REFUND POLICY

Due to the customized and immediately deployed nature of our systems:

1. All service fees are non-refundable once work has commenced.

2. All setup and onboarding fees are non-refundable once your account has been created and configuration has begun.

3. Wallet credits are non-refundable, though unused balances remain available within your account.

All payments are final and non-refundable unless explicitly stated otherwise in a signed Service Agreement.

Any performance guarantees are governed strictly by the terms outlined in your signed Service Agreement.

6. PERFORMANCE GUARANTEE

ConsultSystemX may offer performance-based guarantees on selected services.

Any such guarantees are:

1. Defined based on system implementation, functionality, and agreed success metrics

2. Subject to specific conditions, client responsibilities, and compliance requirements

3. Fully detailed in the Client’s signed Service Agreement and Schedule A

Guarantees are not automatic and do not apply unless explicitly stated in writing.

Failure to comply with agreed requirements, including communication, implementation, and payment obligations, may void any applicable guarantee.

7. LATE PAYMENTS & CONSEQUENCES

Grace Period

A 5-day grace period applies to recurring payments.

Late Fees

Late payments may incur a fee of 1.5% per month (18% annually), or the maximum permitted by law, whichever is lower.

Service Suspension

Failure to maintain current payment status may result in immediate suspension of services, including but not limited to:

i. Loss of account access

ii. Suspension of automated marketing systems

iii. Deactivation of campaigns

iv. Interruption of client-facing systems.

Client acknowledges that non-payment may result in partial or complete system downtime.

Collections

Unpaid balances may be sent to collections. You agree to pay all associated costs, including reasonable legal and collection fees.

8. CHARGEBACKS & DISPUTES

Dispute Resolution

If you have any billing concerns, contact us at [email protected] BEFORE initiating a chargeback. We will make reasonable efforts to resolve the issue promptly.

Chargeback Consequences

Initiating a chargeback without first attempting to resolve the issue with us may result in:

i. Immediate suspension or termination of services

ii. Loss of access to your account and systems (subject to applicable law)

iii. Additional fees and recovery actions

iv. Legal action to recover outstanding balances and associated costs

Documentation

In the event of a chargeback dispute, you authorize us to provide your service records, communications, and usage data to payment processors and financial institutions.

9. TAXES

All fees are exclusive of applicable taxes. You are responsible for all sales, use, value-added, goods and services, and other taxes (excluding taxes based on our income). If we're required to collect taxes, they will be added to your invoice.

10. PRICE CHANGES

We reserve the right to modify our pricing with 30 days' written notice.

This may include adjustments due to third-party cost increases (e.g., messaging, AI usage, or software providers).

Continued use of services after notice constitutes acceptance of updated pricing.

11. CANCELLATION POLICY

Notice Requirement

Cancellation requires 30 days' written notice to [email protected].

No Refunds

Cancellation does not entitle you to a refund of any fees already paid, including prepaid or unused portions of monthly, quarterly, or annual service fees.

Service Termination

Upon cancellation, services will remain active until the end of your paid billing period, after which all access will be terminated.

Data Retention

Your data may be retained for up to 30 days following cancellation, after which it may be permanently deleted.

12. NO GUARANTEE OF RESULTS

As detailed in our Terms of Service and Earnings Disclaimer, ConsultSystemX does not guarantee specific outcomes, revenue, or business results.

All results depend on multiple factors, including but not limited to:

i. Client execution

ii. Offer quality

iii. Sales processes

iv. Market conditions

v. Third-party platform performance

Any performance guarantees apply only if explicitly stated in a signed Service Agreement.

Payment for services does not guarantee specific outcomes.

13. THIRD-PARTY DEPENDENCIES

Our systems may rely on third-party platforms and providers (e.g., messaging services, email providers, AI tools, and software integrations).

We do not guarantee performance, uptime, or deliverability of third-party services.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, ConsultSystemX’s total liability shall not exceed the total amount paid by you in the 12 months preceding the claim.

We are not liable for any indirect, incidental, consequential, or special damages.

15. GOVERNING LAW

These Payment Terms are governed by the laws of Wyoming, United States of America, to the extent permitted by applicable law.

Any disputes shall be resolved through binding arbitration as outlined in our Terms of Service.

16. RELATIONSHIP TO SERVICE AGREEMENT

These Payment Terms & Conditions provide a general overview of billing practices.

All services are governed in full by a separate signed Service Agreement.

In the event of any inconsistency, the Service Agreement shall prevail.

17. MODIFICATION OF TERMS

We reserve the right to update or modify these Payment Terms at any time.

Continued use of services or submission of payment after updates constitutes acceptance of the revised terms.
